For public and general use of volunteerup.com, info.volunteerup.com, app.volunteerup.com, and related web properties. These Terms of Use are intended for website and general app access. Paid customer subscriptions remain governed by the Master Services Agreement and signed Order Form.

These Website Terms of Use ("Terms") govern your access to and use of the VolunteerUP websites and general online services provided by LangShan Consulting LLC d/b/a VolunteerUP ("VolunteerUP," "we," "us," or "our"). By accessing or using our websites, you agree to these Terms.

1. Scope of These Terms

These Terms apply to general access to our websites, public pages, login pages, help content, demo or contact forms, and similar online resources.

If your organization has signed a Master Services Agreement or other contract with VolunteerUP, that signed agreement controls to the extent of any conflict regarding the paid subscription service.

If you use the VolunteerUP application as an end user through an organization account, your use may also be subject to your organization's policies and instructions.

2. Permitted Use

You may use our websites only for lawful purposes and in a manner that does not interfere with the operation, security, or availability of the websites or services.

3. Prohibited Conduct

You may not: (a) attempt to gain unauthorized access to any account, system, or data; (b) interfere with site security, integrity, or performance; (c) scrape, copy, or harvest content or data through automated means except as permitted by law and our written consent; (d) upload malicious code; (e) use the websites to violate law or the rights of others; or (f) misrepresent your identity or affiliation.

4. Accounts and Credentials

If you receive login credentials for the VolunteerUP application, you are responsible for keeping them confidential and for activity occurring under your account to the extent caused by your actions or omissions. Notify us promptly if you become aware of unauthorized account use.

5. Intellectual Property

VolunteerUP and its licensors own the websites, software, content, branding, and related intellectual property except for Customer Data and third-party content that is lawfully provided through the service. These Terms do not grant you ownership rights in the websites or services.

6. Privacy

Your use of the websites and services is also subject to the VolunteerUP Privacy Policy.

7. Third-Party Services

The websites or services may link to or integrate with third-party services. VolunteerUP is not responsible for third-party services that it does not control.

8. Disclaimers

The websites and general online materials are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, VolunteerUP disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, VolunteerUP will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, or goodwill, arising out of or related to your use of the websites. If liability is nevertheless imposed, VolunteerUP's aggregate liability arising out of these Terms will not exceed one hundred U.S. dollars (US$100).

10. Changes; Suspension; Termination

We may update these Terms from time to time by posting an updated version. We may suspend or terminate access to the websites or services if reasonably necessary for security, maintenance, legal compliance, or misuse prevention.

11. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. The state and federal courts located in Colorado will have exclusive jurisdiction over disputes arising out of these Terms, and you consent to that jurisdiction and venue.
